By accessing, browsing, or purchasing from the Website, you agree to be legally bound by these Terms. If you do not agree, please do not use the Website.

Performance Hydration Private Limited is a company incorporated under the Companies Act, 2013, with its registered office at Level 2&3, Birla Centurion, Pandurang Budhkar Marg, Worli, Century Mill, Mumbai, Mumbai- 400030, Maharashtra, India. We operate the Website and offer health, wellness, and nutrition products directly to consumers across India (“D2C”). All commercial transactions on the Website are between you (the “User” or “Customer”) and the Company.

2. Eligibility

To use the Website and place orders, you must:

Be at least 18 years of age or access the Website under the supervision of a parent or legal guardian.
Be legally competent to enter into a binding contract under the Indian Contract Act, 1872.
Not be barred or restricted under any applicable law from purchasing the products offered.

If you are using the Website on behalf of a business entity, you represent that you are duly authorised to bind that entity to these Terms.

3. Amendments to These Terms

We reserve the right to update, modify, or revise these Terms at any time without prior notice. The revised Terms will be effective immediately upon posting on the Website. 4. User Account & Security

To place orders, you may be required to create an account on the Website. By creating an account, you agree to:

5. Products, Product Information & Country of Origin

All products sold on the Website are intended for personal, non-commercial use only. Resale or redistribution without explicit written consent from the Company is strictly prohibited.

In accordance with the Consumer Protection (E-Commerce) Rules, 2020, the following information is disclosed for each product listed on the Website:

Country of Origin: Each product listing specifies the country in which the product was manufactured. Where applicable, 'Made in India' or the relevant country will be clearly stated on the product page and on the physical product label.
Imported products, if any, will additionally carry the name and address of the importer on the label, as required under the Legal Metrology (Packaged Commodities) Rules, 2011.

Product images, descriptions, ingredient lists, nutritional information, and certifications are provided for informational purposes. While we strive for accuracy:

Products are food supplements and are NOT intended to diagnose, treat, cure, or prevent any disease. No claim on this Website constitutes medical advice. 6. Pricing & Availability

All prices listed on the Website are in Indian Rupees (INR) and are inclusive of applicable Goods and Services Tax (GST), unless stated otherwise. Prices are subject to change without notice.

In the event of a pricing error, we reserve the right to cancel or refuse orders placed at the incorrect price and will notify you promptly with a full refund if payment has already been made.

Product availability is subject to stock. We do not guarantee uninterrupted availability of any product.

7. Placing an Order

By placing an order on the Website, you make an offer to purchase the selected products at the stated price. An order is confirmed only when you receive an order confirmation email from us. We reserve the right to accept or decline any order at our sole discretion.

Please review your order details carefully before confirming, as errors in quantity, size, flavour, or delivery address may not be rectifiable after the order is placed.

We do not use pre-ticked checkboxes or any similar mechanism to record your consent for any purchase, subscription, or marketing opt-in. All consents are obtained through explicit and affirmative actions by you, in compliance with the Consumer Protection (E-Commerce) Rules, 2020.

8. Payment Terms

We accept the following payment methods:

Debit & Credit Cards (Visa, Mastercard, RuPay, and others)
Net Banking
UPI (Unified Payments Interface)
Digital Wallets (e.g., Paytm, PhonePe)
Cash on Delivery (COD) - available in select pin codes, subject to order value limits
Buy Now Pay Later (BNPL) - where enabled via third-party providers

All online transactions are processed through secure, encrypted payment gateways. We do not store your card details on our servers. In the event of a payment failure, please verify with your bank before attempting again to avoid duplicate charges.

For COD orders, the amount is payable in cash at the time of delivery. Refusal to accept a COD delivery without valid reason may result in restrictions on future COD availability for your account.

9. Intellectual Property

All content on the Website, including but not limited to text, graphics, logos, icons, images, audio clips, product names, brand names, slogans, and software, is the exclusive property of Performance Hydration Private Limited or its licensors and is protected under applicable Indian and international intellectual property laws.

You may not reproduce, distribute, modify, transmit, repost, or otherwise use any Website content for commercial purposes without prior written authorisation from the Company. Unauthorised use may attract civil and/or criminal liability.

10. Acceptable Use Policy

You agree not to use the Website for any purpose that is unlawful or prohibited by these Terms, including but not limited to:

Uploading or distributing viruses, malware, or any other malicious code.
Attempting to gain unauthorised access to any part of the Website, servers, or databases.

By providing your contact details and using the Website, you consent to receive transactional and promotional communications from hydRo 365 via email, SMS, WhatsApp, or phone call, including if your number is registered under the DND/NCPR registry.

You may opt out of marketing communications at any time by:

12. Data Protection & Privacy

We process your personal data in compliance with:

The Information Technology Act, 2000, and the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011 (SPDI Rules).
The Digital Personal Data Protection Act, 2023 (DPDP Act), and the Digital Personal Data Protection Rules, 2025, notified on 13 November 2025, as they come into effect on a phased basis.

As a Data Fiduciary under the DPDP Act, we will:

Collect your personal data only for specified, clear, and lawful purposes.
Seek your free, specific, informed, unconditional, and unambiguous consent before processing personal data, except where processing is permitted on other legal grounds under the DPDP Act.
Provide you, upon request, with a clear and plain-language notice explaining what personal data is being collected, the purpose of processing, and how to exercise your rights as a Data Principal.
Not use pre-ticked boxes, bundled consent, or any mechanism that does not reflect a genuine, affirmative choice.

If you submit reviews, ratings, comments, or other content on the Website, you grant us a non-exclusive, royalty-free, perpetual, and worldwide licence to use, reproduce, publish, and display such content across our platforms and marketing materials.

You represent that any content you submit is accurate, does not infringe any third-party rights, and does not violate any applicable law. We reserve the right to remove any content that, in our sole discretion, is inappropriate, misleading, or in violation of these Terms.

Performance Hydration Private Limited products are food supplements regulated under the Food Safety and Standards Act, 2006, and the Food Safety and Standards (Health Supplements, Nutraceuticals, Food for Special Dietary Use, Food for Special Medical Purpose, Functional Food and Novel Food) Regulations, 2022. These products are not drugs and are not intended to diagnose, treat, cure, or prevent any disease or health condition.
Any nutritional or health claims made on this Website or on product labels are made in compliance with FSSAI Regulations and the Food Safety and Standards (Advertisements and Claims) Regulations, 2018. Claims are not a substitute for professional medical advice.

16. Warranty Disclaimer

We do not warrant that the Website will be uninterrupted, error-free, or free from viruses or other harmful components. We make no warranty regarding the accuracy or completeness of information on the Website.

17. Limitation of Liability

To the maximum extent permitted under applicable law, the Company, its directors, officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, punitive, or consequential damages arising from your use of the Website or our products.

In any event, our aggregate liability to you for any claim arising out of or relating to these Terms or the Website shall not exceed the total amount paid by you for the specific product(s) giving rise to the claim in the preceding three (3) months.

Nothing in this clause shall limit or exclude liability that cannot be excluded by applicable consumer protection law, including the Consumer Protection Act, 2019.

18. Indemnification

You agree to indemnify, defend, and hold harmless Company, its affiliates, directors, officers, employees, agents, and licensors from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use or misuse of the Website; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any false or misleading information provided by you.

19. Force Majeure

We shall not be held liable for any delay or failure in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, government restrictions, strikes, power failures, or disruptions to logistics networks.

20. Termination

We reserve the right to suspend or terminate your access to the Website at any time, with or without cause, and with or without notice, for conduct that we believe violates these Terms or is harmful to other users, the Company, or third parties.

21. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Mumbai, India.

22. Dispute Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the breach thereof, the parties shall first attempt to resolve the dispute amicably through good-faith negotiations within 30 (thirty) days of written notice from the aggrieved party.

If the dispute cannot be resolved amicably, it shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be Mumbai, India. The language of arbitration shall be English.

23. Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

24. Entire Agreement

These Terms, together with our Privacy Policy, Shipping Policy, and Returns & Refund Policy, constitute the entire agreement between you and the Company with respect to the subject matter hereof and supersede all prior communications, representations, or agreements.

Grievances will be acknowledged within 48 hours and resolved within 30 days of receipt, in accordance with the Consumer Protection (E-Commerce) Rules, 2020.

If you are dissatisfied with our resolution, you may also approach the National Consumer Disputes Redressal Commission (NCDRC) or the relevant State/District Consumer Disputes Redressal Commission as per the Consumer Protection Act, 2019, or register a complaint on the National Consumer Helpline (NCH) at www.consumerhelpline.gov.in or call 1800-11-4000.
